Introduction

These Terms of Service govern your use of BoardStack, a software product operated by Ventora Labs C Corp. By accessing or using BoardStack, you agree to be bound by these terms. If you do not agree, please do not use the service.

BoardStack is designed to help volunteer HOA boards manage reserve funds and maintain compliance. These terms apply to all users of the platform, including board members, treasurers, and administrators.

Use of Service

You may use BoardStack only for lawful purposes and in accordance with these terms. You agree not to use the service in any way that could damage, disable, or impair the platform or interfere with other users' access.

BoardStack provides tools to help manage HOA finances and compliance tracking. It is not a substitute for professional legal or financial advice. You are responsible for verifying that your use complies with applicable state and local laws governing your HOA.

Account Registration

To use BoardStack, you must create an account and provide accurate information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be authorized by your HOA board to register and use BoardStack on behalf of the community. Each community should have a single designated administrator account.

Payment Terms

BoardStack offers a 1-month free trial after you select a plan and add a payment method at signup. Your card is required to start the trial, but you will not be charged at signup. We send a reminder email 3 days before the trial ends. After the trial, your subscription automatically converts to the selected paid plan unless you cancel before the trial end date. Subscriptions are billed monthly or annually depending on your selected plan.

All fees are non-refundable except as required by law. We reserve the right to change our pricing with 30 days' notice to active subscribers. Downgrading or canceling your plan takes effect at the end of the current billing period.

Portfolio-tier customers may receive custom terms, implementation commitments, or service levels in a separate order form. No uptime SLA is provided on the Starter tier unless expressly stated in writing.

Limitation of Liability

BoardStack is provided "as is" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by applicable law, BoardStack's aggregate liability to you for any claims arising from your use of the service shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

Governing Law

These terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts located in Travis County, Texas.

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
